Avianca Group prices US$650M in 10.250% Senior Secured Notes due 2032 to refinance existing 2028 debt obligations.

Avianca Group International Limited has priced a US$650 million offering of new 10.250% Senior Secured Notes due 2032, a move designed to refinance existing debt and extend the Airlines corporate maturity profile.
In a press release issued on June 25, 2026, the company announced that its subsidiary, Avianca Midco 2 PLC, priced the offering on June 24, 2026. The transaction is expected to close on July 7, 2026, subject to standard closing conditions.
Debt refinancing strategy
Avianca intends to use the net proceeds from the offering to redeem all of its outstanding 9.000% Senior Secured Notes due 2028 and all of its outstanding 9.000% Tranche A-1 Senior Notes due 2028. The company stated that any remaining funds will be allocated for general corporate purposes, which may include future repayment of other outstanding indebtedness.
The new 2032 notes will share identical collateral terms with the company’s existing 9.625% Senior Secured Notes due 2030 and 9.500% Senior Secured Notes due 2031. This alignment standardizes the collateral structure across Avianca’s medium-term secured debt.
Institutional offering details
The notes are being offered exclusively to qualified institutional buyers under Rule 144A and to non-U.S. persons under Regulation S of the U.S. Securities Act of 1933.
This regulatory framework limits the offering to institutional investors rather than the general public. The approach aligns with standard corporate debt restructuring practices for international carriers managing large-scale capital structures.

Icelandair Group hf. has completed the acquisition of a 49% stake in a holding company controlling a Maltese Air Operator Certificate (AOC) for USD 686,000, securing a strategic foothold within the European Union regulatory environment.
The transaction, finalized on August 20, 2026, involves Fly Play Europe Holdco ehf., whose subsidiary holds the currently suspended Maltese AOC MT-85. The certificate was previously associated with the defunct Icelandic budget carrier PLAY, which ceased operations following its bankruptcy in September 2025.
Strategic expansion into Malta
In a press release issued on August 20, 2026, Icelandair announced the purchase from FPE hs., a fund managed by Isafold Capital Partners hf. The Airlines stated the acquisition is designed to increase operational flexibility and support the development of its primary hub at Keflavik International Airport (KEF).
The completion of the transaction remains contingent on reaching an agreement with the Transport Malta Civil Aviation Directorate (TMCAD) regarding the continued use of the certificate. Origins of the AOC and future options
The Maltese AOC originally belonged to a subsidiary of PLAY. Following the budget carrier’s financial collapse in late 2025, creditors enforced security interests to recover the Maltese holding structure. Icelandair initially announced a Letter of Intent regarding the Acquisitions in April 2026 before finalizing the purchase in August.
As part of the agreement, Icelandair has secured options to increase its stake in Fly Play Europe Holdco ehf. at a later stage. The company utilized Arma Advisory as its financial adviser for the transaction.

Saudi Arabia’s Government Expenditure and Projects Efficiency Authority (EXPRO) signed a framework agreement on August 19, 2026, integrating the new national carrier Riyadh Air into the government’s unified travel booking system.
The agreement, announced in an EXPRO press release, allows Saudi government entities and public sector employees to book Riyadh Air flights directly through the Etimad platform’s ERCAB service. Expanding government travel options
